    I read this book after forming a C-Corp in California (using the Nolo guide). Although I am familiar with many biz deductions, this book walks you through many examples of deductions you can take if you plan ahead. I really like the "Day in the Life of..." examples of how you can maximize legal deductions pertaining to mileage. There's an excellent section on home office deductions. My husband, a self-admitted dummy when it comes to expense reports, taxes, etc., picked up the book after I was done, and even he understands the concepts. Already he has found deductions for his sole proprietorship and non-reimbursed employee biz expenses. Great value and so easy to understand. Highly recommend.

    Great book. Just one comment. A lot of the text in this book is identical to the text in Tax Deductions for Professionals. You don't need both books; choose one.

    This book has the information I have been looking for. It is the most detailed (and clearly written) of any books that I've purchased to help me know what is allowable (and not) as deductions for my small business. Helps in planning as well.

    If your a first time business owner this is a must have on your book shelf. You'll even learn how to deduct the book itself in the first chapter! You'll be severly handicapting yourself by not buying the book.

    The book gave a good review of the different types of Incorporation. The type that might be best for any business desired with different requirements and tax advantages of each type. Whether one has partners makes a difference in type needed or whether one wants to sell stock in their company or not.
    For a primer it is good but one needs a more in depth knowledge or a tax expert to really get more out of the type of incorporation wanted.

    Inc for Dummies is not just for dummies, it is a good book on How To Incorporate, but you will need more.

    Some additional books icnlude How To Incorporate: A Handbook for Entrpreneurs and Professionals by Michael R. Diamond. How To Incorporate in Any State: Everything You Need to Form a Corporation by W. Dean Brown. S- Corporations by Robert Cooke.

    Form Your Own Corporation and Launch a Business in Any State and The Small Business Kit by J.W. Dicks.

    Use the dummies book as a starter guide. Use the other books for the real meaty information. Be careful what you buy, the marketplace is proliferated with books by self proclaimed experts who read a lot but have no real world experience.

    In order to maintain the legal status of your corporation, you need to pass very specific resolutions and keep very specific records. I had hoped for a "cookbook" for the legal steps required to set up and operate my corporation, but this is not it.

    The info on corporate structures is very basic and general - you could easily find this level of detail on the web. That's my primary complaint with this book... it mentions what you must do, but doesn't give you the specifics of how.

    Instead of this book, I recommend you:

    (1) Get the *basics* from your lawyer or accountant (or even doing some research on the web)

    (2) buy The Corporate Minutes Book by Anothony Mancuso instead of this book!

    5 out of 5 stars Good book for those contemplating a corporation.......2004-02-23

    If you are contemplating starting a business and therefore a corporation, this book is a great first start. As with all of the dummy series books, the authors feel that people reading these books are brand new and know nothing. So this gives even the most naive a good start on how to incorporate.

    So much of the information is basic and since the book was written awhile ago, some of the material may be dated. Nonetheless, good first start for business people.

    Other good books include How To Start a S-Corporation by Robert Cooke and Brilliant Deductions by Wade Cook. The latter shows a way to drop out of the social security system and offers a good section on Nevada Corporations.

    I thought that this book was an okay read but left some very important information out especially regarding S-Corporations.
    The best book I have found on S-Corporations is How to Form a S-Corporation by Robert Cooke.

    This book outlines 76 ways that small businesses often get in trouble with the IRS. A lot of these mistakes are very tempting to make -- in fact, one can argue that it's the tax law that's the problem in many cases, not the business practice. Nonetheless, the author makes clear the IRS position on these mistakes, and shows how damaging the mistakes can be when the IRS wins in tax court over the business owners.

    Every small business owner should read this book. It's remarkably easy to scan and absorb, though the topics are often quite complex at their root. This book cuts through the complexity and makes clear what the dangers are. As the author writes in the introduction, "If things go wrong, it gets expensive. For this reason, you should know *where* things go wrong. Because usually they go wrong in the same place. To see your taxes doubled because you made the same mistake that thousands of other people made before you does not make good business sense."

    All around great advise that covers practically every area of the tax code for a small business. My accountant can always answer a specific question but he has never put all my posible tax issues into one big picture. This book does that!

    It covers all the major areas of the tax code such as paying employees vs. contractors, entertainment and meal expenses, retirement plans, loans, and S-Corporations. In all these areas are descriptions of the tax law, how the IRS enforces it, and what can go wrong.

    Ignore the low ratings from the tax anarchist. This book is 5 stars!

    I thought I had read it all when it comes to preparing yourself for the IRS, but I was wrong, there is new and useful information in here. It saved me money right away and I can see all the mistakes I have made in the past year in this book. If you have been in business you have made these mistakes. Good Book, could be longer.

      I read this terrific workbook in one sitting - it is very readable, interesting and well-designed. The worksheets are very clear and practical.         Business Basics Bestseller 1: The Easy, Interesting, Open-book Look at the Game of Business Numbers! 2nd Edition


        Some readers are looking for a basic start for finance and accounting (F&A)concepts and terms before tackling important topics like Cost-Volume-Profit. If you never had this stuff explained to you before, you will like "Business Basics Bestseller 1" as a starting point. This is not a suggestion that you substitute it for this book, just that you check it out as well. The BBB #1 book was written by a guy who is not an accountant -- imagine what that can do for cutting through the jargon accountants love without even knowing it.

        BBB #1 will introduce you to the basics of business including the terms behind the numbers and where all the formulas come from before you plow into a true "finance and accounting" text. There are no "debits" or "credits" in this book or "double-entry accounting" rigamarole. Search for "Business Basics Bestseller 1" and add it to your consideration. It can be one of your best investments. At less than 150 pages, you can zip through it enjoyably before tackling tougher stuff on the topic.

        My husband and I are starting a small business and need to learn the basics of non-personal financial planning and budgeting. Maybe this book will be useful to you if you have these after your name (like the authors); Ph.D., CPA, CFE, CMA, CIA, CDP, CSP, CPM, and CPIM. I don't even know what half of those stand for!

        I found their use of jargon and vocabulary posturing (gee, how many big words can we fit in one sentence?) hard to read. I was so busy just trying to figure out what they were saying (in simple terms), that I couldn't absorb the lessons they were trying to teach. The books is filled with things like, "Another strategic issue involving production capacity is the anticipation of changes in the corporate break-even point as the result of adding extra capacity". Ugh.

        I forced myself to read the entire first chapter and part of the second, but could go no further. I scanned other sections of the book to see if it ever got any better, but it didn't.

        If you have some financial background and need to know more, then this may be the book for you. If you are trying to find simple step-by-step instructions and general information about setting up a small business budget, and you don't have a financial background, I would advise you to look elsewhere.

        5 out of 5 stars The Small Business "Stuff You Need To Know" Book.......2001-01-19

        Here is a "must read" for anyone owning or starting a small business. This is not a "Small Business for Dummies" book, and not a business school MBA text. This book is "Just Right", filled with proven techniques and sound strategies to guide you through the complex maze of critical accounting and financial issues.

        These are things you must know or at least understand, for your business to survive and prosper. For example; CASH FLOW: probably the most important concept for the small business owner to understand. You have to plan for growth or it will kill you. TAX LIABILITIES: taxing authorities can be brutal. Be Prepared! INSURANCE REQUIREMENTS: what you need to know and some helpful tips. BUDGETING: It's not that hard. REPORTING REQUIREMENTS: Plan for it and it's easy. RISK MANAGEMENT, COST-VOLUME-PROFIT-RELATIONSHIP, STAFFING and INVENTORY LEVELS, CAPITAL ACQUISITIONS, FINANCING SOURCES, PERFORMANCE TRACKING. These are all covered in sufficient detail to understand and put into practice.

        As a past owner of a small businesses, I was unprepared for the level of sophistication required to run a small business. This book is be an invaluable reference to have available, if you own a business or are thinking about starting one from scratch. The key to business health is "no surprises".

        There are also many ready-to-use forms, checklists, sample spreadsheets and calculations showing practical applications of real-world examples. These are not the dreaded debit/credit type stuff in accounting texts. These are easy to understand examples. After all, that's the whole point of the process. Enough information to manage your growing business.

        Even if you are turning over these functions to your staff, you should understand what's going on, what's coming up and how to prepare for the future. Highly recommended, 5 stars for this book.

        This book is good if you are looking for a somewhat decent introduction to terminology and processes. However, I think you will find other books a far better investment in your time. I would say this is a high school level course in VC.

        I question some of the motives of the author through the book. At one point he says that the best way to meet a VC is to have an introduction by a broker. In my experience taking three companies through VC, I have found this is the absolute worse way of dealing with them. All of my friends who are partners at Chicago based VC firms say they would rather the entrepreneur come directly to them. You can tell the author is an attorney, because his advice is to use an attorney to find Venture Capital. Also, the author touts the fact he is a lecturer at Wharton. Lecturer and Professor are worlds apart. It isn't that hard to get an invitation to speak at a business school, so I don't put much weight on his using this as a claim to fame.

        This book is good for terminology, but not good for advice. My recommendation is that you do not follow the guidelines here, only use the book as an introduction to terminology.

        If you want a real book on advice, listen to someone that has taken a company through the process. Get Rob Ryan's book "Entrepreneur America". You will find it is a much better investment of time and money.

        You will find the quite difficult to follow, but it is interesting to read and you will find new information on each page if VC is stranger to you.

        This seems to be a bunch of lecture notes for a Venture Capital course masquerading as a book. Like lecture notes, the material presented is spotty and uneven, but interspersed with enough factoids to keep the reader interested. As a text, it would have benefited from an outline and a good editor. About 45% of its 368 pages are appendices (course handouts) of sample contracts. If this is your first venture into venture capital, find the course text or read something like Linda Chandler's Winning Strategies for Capital Formation. Then read this to add some depth.
