simple and clean, rather go through all of the sites to search what you actually need to register your company, this book guide you through that. also, book v.s. web sites, the book gives you more insight to cross comparison on all the legal structures that you need to choose, pros and cons, to make you select what fits you, instead of reading laws on the web only tell you what is LLC and etc. I will keep it although I formed my company after reading this book.

If you are thinking of starting your own business in California, especially if you have never done it before, you will find that this book is worth its weight in gold.

This resource takes the complication out of starting a business, contacting the right agencies and doing things legally. It cuts through a lot of confusion, has an encouraging tone and presents what you need to know in a very logical and easy to understand format.

I often recommend this book to my small business clients and find it to be a useful general reference. It also points to many other good resources and is a good value for such a comprehensive book.

This book saved me a lot of money by allowing me to form my own one-owner California corporation. I liked the fact that it explained why it wasn't recommending certain things so that you could decide whether it was worth it to you or not.

The only area that I felt it could have explained things more thoroughly was that while it explained how to issue initial shares, it didn't explain at all how to issue any subsequent shares (e.g., in case your corporation was about to run out of money and you (the owner) wanted to buy more shares to inject more capital). It just said to consult a lawyer. So I had to inject more capital via a loan instead. If it's that complicated, then perhaps the author should warn people to slightly overcapitalize the corporation initially.

If you are really interested in starting your own business and have no idea how to begin or what it means to work in a small business, this is the book for you. Very simple presentation with easy to understand explanations will take you step by step through the process and the decisions you will have to make along the way. It is well worth the money. If you are already a small business owner and you are thinking about moving up in the business world with your organizational structure, this will also help to to decide what form of organization you might want.

I really like this book and am glad that I bought it.
It has lots of useful ideas for me and I'll be paying close attention to Mr Strauss's suggestions.
I've also recently read Untapped Wealth Discovered by Jeff Marquis and Kerry Harrison and this book is extremely different, refreshing, and brings a new approach to the business world.
I like this book too and strongly recommend that if you've recently lost your job then read it.

This book was not of any help to me. It mentions all the aspects of business you need to be familiar with before starting one of your own, but it does not give any help on any of these aspects.
For example in financing your startup, it mentions geting a loan and using your credit cards. Honestly if thats the way to finance a business then you can add going on a diet and saving your lunch money. It goes on giving you mostly unintelligent information and advice like "buy a computer", "save rent, work from home". Put your money on another book and save yourself the trouble of reading it.

I was pleasantly surprised by the content and structure of this book. I have written business plans in the past, but I still found it immensly helpful to follow the guidelines in this book. I'd tell anyone with a business idea to use this book first, follow the workbook completely and once you have a great business plan, you can then take it to a corporate attorney to get advice on the best business entity to use. This book contains all of the forms and instructions that are necessary to set-up a small business "chapter-C" or standard corporation in any state. The forms on the included CD-ROM make the task of preparing Articles of Incorporation, By-laws, minutes of meetings, etc. a very simple task. Despite what Mr. Hefner states in his review, the appendix of this book contains far more state-specific information about corporate law than merely the addresses of the state corporation departments. It details the specific state statute where incorporation information is contained. It describes the title of the state filing necessary, as well as the amount of any filing fees or other required fees. It also outlines the details of corporate name reservation rules and the fees for name reservations. The number of incorporators, the required language for corporate purpose requirements, the number and residency requirements for corporate directors, any state-specific paid-in capital requirements, any required publication requirements, and details of any other relevant state corporation regulations are all outlined in the very useful state by state appendix of this book. This detailed appendix makes it very easy to tailor the forms in the book and on the CD-ROM for use in any state.

The sub-title of this book is "Everything necessary to set up a small business C-Corporation in all 50 states and Washington, D.C.". That's quite a hefty promise! The book is a good start, but hardly lives up to the claim.

At 286 pages, there is hardly room for a lot of coporate philosophy or specifics about starting a business. More than half of the book consists of forms that are found on the CD-ROM, or explanations of specific portions of those forms. I have to classify this as a bare-bones crash-course in how to start a C-Corporation, as most of it contains generic forms that may or may not be applicable to your specific situation.

The book includes a CD-ROM, which basically just includes MS Word and Adobe Acrobat versions of forms that are printed inside the book. No other software is included, other than the Acrobat Reader. It is impossible to navigate the files without the assistance of the Table of Contents in the book, as the documents are named in a numerical fashion, and no master list of documents exists on the CD-ROM itself. Basically, the CD-ROM will just save you from re-typing the forms contained in the book, although you will likely need to do a LOT of editing for your specific situation.

The book is a bit overpriced..., IMHO. The information and forms are simply way to general to rely upon to start your own corporation, and there is absolutely no state-specific information included, other than an appendix with the addresses of each state regulatory authority in the back of the book.

Basically, I would not advise anyone to use this book to start their own C-Corporation. However, it is a good resource for those who know zero about what is involved in forming a C-Corporation, or who want to use the CD-ROM to save them some time in typing. Compared to what most lawyers will charge, it's a bargain. However, if you rely solely upon this book as the basis of how (or why) to form your C-Corporation, you are simply headed for trouble. It's a decent, well-written little reference though, and for that alone I give it three stars.

I have been looking for a book that details step by step on forming an S Corp. It is light on the accounting end but otherwise I believe it is a good premier on the how to form an s corp. You will still want or need to consult other professionals and also the state and federal guidelines but it is a good read and reference!

Good souce for someone who is looking for starting a S-Corporation. However, this book will not provide any information if the corporation desires to have business other then your home state. Also, the CD that contains the forms are not named accuratly. Ther are numbered instead of having the form names. Some of the forms in the CD are missing. However, if someone is planning to open a business, this book will give to a vital information.

An excellent reference for anyone considering starting a business as an S-Corporation. This book contained all the necessary incorporation forms, as well as checklists that helped you complete the process. I found especially valuable the marketing plan worksheet, which helped determine whether the business idea was viable. The only downside of the manual was the sparse information given on state by state corporation laws. For instance, it would have been helpful to have the Internet addresses for each state's corporation department. The state that I reside in had state specific forms on it's Web page which could be downloaded for no fee.

      First of all the content is, well, okay. But don't expect this to be what you expect a book to . It is really really thin-- only 63 pages long. Most magazines are thicker. When I opened the box, I thought it was empty. The book was so thin I didn't notice it was under the invoice ! Fair enough;one might argue that you can say a lot in 63 pages. But wait a minute! That's not all. Clearly half of the pages have huge blank spaces...for you to fill the blanks with your exercises, you see.It is,after all, a workbook. Then there are completely empty pages in between chapters that are counted within the 63 pages. But what makes this so unforgiveable is that most the pages that are full have huge margins to the sides, top, and bottom. Some people might find the content good, but you can get a lot more for your money elsewhere in my opinion.

      This video-and-workbook set are a great introduction to the world of foundation grant proposal development. Like any tool, it's important to know how it should be used. This set will be used best in training situations where a facilitator will be available to assist with interpreting the workbook materials and "fleshing out" some of the concepts. But that's not a requirement; anyone interested in the subject can learn a lot from this introductory material.

      I'm a little surprised that the authors/publishers chose to stick with the term "grantwriter:" many foundation staffs believe that THEY are the "grant writers" and that those seeking funding are preparing applications for grant funding. However, the market holds to the term "grantwriter" for proposal applicants, and it is less cumbersome than anything else I've heard to describe those who prepare grant proposals and applications.

      Watch the video first, and then tackle the workbook. [In fact, the video makes absolutely no reference to the workbook.] The video's 25 minutes are well-produced and feature foundation grants experts. The videocassette I viewed seemed to have some minor audio problems, but that may have been my equipment rather than the video itself, and in any case, it didn't affect my understanding of the material.

      The video presents the twelve elements of a successful foundation grant proposal, from the cover letter through the proposal narrative to the budget and appendices. It also provides some basic tips for writing successful proposals: researching foundations; calling foundations for help; making your grant application easy to read and to navigate; writing in a clear, concise style that accurately presents a compelling case for funding, etc.

      People preparing government grant applications show be wary of some of the specific advice in the video (like that to avoid double-spacing in foundation proposals), and I would have liked to see the video emphasize the overriding importance of preparing an application using the funding source's preferred format rather than a single "best practice" format, regardless of how professional it appears. It would also have been nice to see some mention of the workbook in the video, if only to reassure the viewer that they don't have to take copious notes while watching.

      The 64-page large format workbook takes the writer through the organizational and "thinking" steps necessary to prepare a good grant application. There are seven exercises to help develop a clear mission and objectives, determine evaluation steps, pencil out a budget, etc. The next section of the workbook shows examples of each of the twelve components of a grant application on the right-side pages. The left-facing pages contain descriptions of each section and tips for writers, similar to the material covered in the video. The workbook's final section provides tips on strategy and structure, and discusses why not all applications are successful, again closely following the content at the end of the video.

      The Grantwriter's Start-Up Kit will give novices a good introduction to the subject and some basic tools, and is a great "off the shelf" tool for facilitators and instructors seeking to expose others to the world of grantsmanship.

      This book has lots of financial worksheets and checklists, but they're not written in a helpful manner or format. Plus, you end up entering much of the same info into many checklists over and over again. Worse, the text is really painful to read. It's not broken down into bite-size pieces or written in plain-English. And I have to agree with Mr. Bingham that it is hard to use the CD-ROM because you have to click into each folder to see what's there and then click into BOTH the PDF forms and text forms folders, because sometimes the forms in the two folders are just duplicates of each other while other times a form only exists in one folder or the other. In short, the book is heavy on forms and worksheets whose usefulness is questionable, and light on text.

      I find this book to be one of the best on the subject of LLC's. I myself invest in real estate and run everything through my LLC's. This book has pretty much all you need for running your company, every single form is incredibly useful. I personally do not use the Residential/Commerical lease forms because I use my own and each state and cities within the state have different rental regulations and laws. I strongly disagree with Mr. Bingham's review about the CD-Rom because in the book on pages 9-12 contain a list of the forms found on the CD-Rom and which form lable goes with which topic. An example of this is:

      "Chapter 2: Business Start-Up Checklist"
      Form 1: Business Start-Up Checklist (text form)"

      The forms on the CD-Rom are in text and pdf format. I wonder if Mr. Bingham even opened the book because this is discussed at the beginning of the book with the "List of Forms-on-CD" section and throughout the rest of the book. I think this is a must have for those either considering forming a LLC for your business or running an existing one. This book is saving me a lot of time and effort and will do the same for you!

      This book is a fairly general overview of running a company. It doesn't really delve into anything too difficult and a lot of its bulk (number of pages) is made up by repeating the same material (as forms) with minor variations. Clarity could be greatly improved if a single iteration of the form was given, and the areas that were subject to variations were so indicated. The way it's done you have to compare 4-8 variations to see what changes between them. Another serious failing is the lack of an index for the forms on the CD. They are simply labeled Doc1, Doc2, etc. You have to open each one to find out what they are. The book does not refer to them by the names on the CD, and there is no index in either the book or on the CD. This is a mediocre book, not bad, not great.
